Terms of Service

These Terms of Service (“Terms”) govern your access to and use of RepScale, including the marketing site at repscale.ai and the web application (“the Service”), operated by RepScale (“we,” “us,” or “our”), based in Metro Atlanta, Georgia.

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use RepScale.

Not legal advice. These Terms are written to be readable. If your organization has specific legal or compliance requirements, please consult an attorney before using RepScale in an enterprise context.

1. The Service

RepScale is an AI-powered sales tool for B2B sales professionals. It provides account research, email writing assistance, and meeting preparation — with output shaped around a structured sales workflow rather than generic AI generation.

We offer two self-serve tiers:

We also offer consulting and implementation services for sales organizations. Those engagements are governed by separate statements of work and are not covered by these Terms.

2. Accounts

You must create an account to use RepScale. You agree to provide accurate information and to keep it current. You are responsible for all activity that occurs under your account. Do not share your credentials.

Authentication is handled by Clerk. RepScale does not store your password. You can manage your login settings through your account dashboard.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in abuse, or remain inactive for an extended period with no active subscription.

3. Subscriptions and Payment

Billing

Pro subscriptions are billed monthly ($29/month) or annually ($299/year) via Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel. All prices are in US dollars.

Cancellation

You may cancel your Pro subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. You will retain Pro access until that date.

Refunds

We do not offer refunds for partial billing periods. If you believe you were charged in error, contact us at info@repscale.ai within 30 days of the charge and we will review it.

Failed payments

If a payment fails, we will retry it on a scheduled basis. After multiple failed attempts, your account may be downgraded to the Free tier until a valid payment method is provided.

Price changes

We may change our pricing with at least 30 days' notice. Price changes will not affect the current billing period in which notice is given. Current Pro subscribers stay at their existing rate for as long as their subscription stays active. New signups and resubscriptions are billed at the posted Pro rate on the day they subscribe.

4. Acceptable Use

You agree not to use RepScale to:

• ✕Violate any applicable law or regulation, including laws governing data privacy, anti-spam, or outreach (e.g., CAN-SPAM, TCPA)
• ✕Generate content intended to deceive, defraud, or impersonate anyone
• ✕Input personal data that you do not have the right to process
• ✕Attempt to reverse-engineer, scrape, or extract data from the Service
• ✕Use the Service in ways that could damage, overload, or impair our systems
• ✕Resell or sublicense access to the Service without our written permission
• ✕Automate usage in ways that circumvent plan limits

RepScale is designed for legitimate B2B sales outreach. Use it accordingly. We reserve the right to suspend accounts that we determine, in our sole discretion, are being used in ways that violate these Terms or the spirit of the Service.

5. Your Content

You own the content you create using RepScale — your research briefs, email drafts, meeting prep sheets, and any other outputs. We claim no intellectual property rights over content you generate.

By using the Service, you grant RepScale a limited license to store, process, and display your content solely for the purpose of operating and improving the Service. We do not use your content to train AI models, and we do not share your content with third parties except as described in our Privacy Policy.

You are responsible for ensuring that the content you input into RepScale — including information about third-party prospects — complies with applicable law and any relevant privacy or data obligations.

6. AI-Generated Content

RepScale uses large language models (via Anthropic's Claude API) to generate output. You acknowledge that:

• →AI output may contain errors, omissions, or inaccuracies. Always review before sending.
• →RepScale does not guarantee that AI-generated content is factually correct, legally compliant, or appropriate for any specific use.
• →You are responsible for any content you send to prospects or customers, including AI-assisted content generated by RepScale.
• →Your inputs are processed by Anthropic's API. Anthropic does not train models on API data per their stated policy for API customers.

7. Intellectual Property

The RepScale platform, including its design, software, workflows, and brand, is owned by us and protected by intellectual property law. These Terms do not grant you any right to use our trademarks, logos, or brand elements without our prior written consent.

You may not copy, modify, reverse-engineer, or create derivative works from the Service.

8. Third-Party Services

RepScale integrates with third-party services including Clerk, Stripe, Neon, Vercel, and Anthropic. These services have their own terms of service and privacy policies, which you are also subject to when using RepScale. We are not responsible for the practices of these third parties.

9. Disclaimers

The Service is provided “as is” and “as available” without warranty of any kind. We do not warrant that the Service will be uninterrupted, error-free, or free from harmful components. We make no guarantee regarding the accuracy or usefulness of AI-generated output.

RepScale is a productivity tool. Results depend on how you use it. We make no guarantees about sales outcomes, pipeline results, or revenue impact.

10. Limitation of Liability

To the fullest extent permitted by law, RepScale shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, arising out of or related to your use of the Service.

Our total liability to you for any claim arising out of these Terms or your use of the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) $100 USD.

11. Indemnification

You agree to indemnify and hold harmless RepScale and its founders, employees, and contractors from any claims, damages, or expenses (including reasonable attorneys' fees) arising out of your use of the Service, your content, or your violation of these Terms.

12. Governing Law

These Terms are governed by the laws of the State of Georgia, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Fulton County, Georgia, and you consent to personal jurisdiction there.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you via email or in-app notice at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes your acceptance of the updated Terms.
